1. Agreement to Terms

By accessing or using the Pretzel Solutions website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service. These terms apply to all visitors, users, and clients of our AI solutions and related services.

2. Description of Services

Pretzel Solutions provides AI-powered technology solutions for the home services industry, including but not limited to: AI receptionist systems, lead generation campaigns, search engine optimization, automation systems, CRM integrations, and reputation management tools. We are a technology provider — we do not directly perform home services such as HVAC, plumbing, or roofing work.

3. Client Responsibilities

As a client, you are responsible for: providing accurate business information, maintaining appropriate licenses and insurance for your trade, responding to leads and appointments generated by our systems, complying with all applicable laws and regulations in your industry, and paying all fees associated with your service agreement.

4. AI Systems & Automated Communications

Our AI receptionist and automated systems will communicate with your customers on your behalf. You authorize us to answer calls, send messages, and schedule appointments using AI technology trained on your business information. You are responsible for reviewing and approving the information our AI uses to represent your business.

5. Payment Terms

Payment terms are outlined in your individual service agreement. Setup fees are due upon signing. Monthly subscription fees are billed in advance. All fees are non-refundable except as outlined in our guarantee terms. Late payments may result in service suspension.

6. Money-Back Guarantee

We offer a 30-day money-back pilot for qualifying clients. If our AI systems do not demonstrate measurable improvement in lead capture within the pilot period, you may request a full refund of monthly fees (setup fees are non-refundable). Specific guarantee terms are outlined in your service agreement.

7. Intellectual Property

All AI models, software, algorithms, processes, and technology developed by Pretzel Solutions remain our exclusive intellectual property. You retain ownership of your business data, customer information, and brand assets. We grant you a non-exclusive license to use our technology during your active subscription.

8. Data Ownership & Usage

You own all customer data generated through our systems. We may use anonymized, aggregated data to improve our AI models and services. We will not share your identifiable business data with competitors. Upon termination, we will provide you with all your customer data in a standard format.

9. Limitation of Liability

Pretzel Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for missed business opportunities, lost revenue, or damages resulting from AI system errors or downtime.

10. Service Level Agreement

We target 99.5% uptime for our AI systems. Scheduled maintenance will be communicated in advance. In the event of unplanned downtime exceeding 4 hours, we will provide service credits proportional to the outage duration. Emergency support is available 24/7 for critical system failures.

11. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, we will provide a data export and cease all AI operations on your behalf within 48 hours. Early termination fees may apply if you are under a minimum commitment period.

12. Non-Compete & Confidentiality

We agree not to share your proprietary business strategies, pricing, or customer lists with competing businesses. You agree not to reverse-engineer, copy, or redistribute our AI technology. Both parties agree to maintain confidentiality of trade secrets shared during the engagement.

13. Dispute Resolution

Any disputes arising from these terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. The prevailing party shall be entitled to reasonable attorney's fees.

14. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of our services after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable federal and state laws, without regard to conflict of law provisions.
